1. Agreement to Terms

Welcome to Silsila. These Terms of Service ("Terms") govern your access to and use of the Silsila mobile application, website, and services (collectively, the "Platform") operated by Silsila Technology LLC ("Silsila," "we," "us," or "our"), a company registered in the United Arab Emirates.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

To use Silsila, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Have valid work authorization in the UAE (for workers)
• Have a valid trade license (for businesses and employers)
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Verification

We may require identity verification, including Emirates ID, trade license, or other documentation. Failure to provide requested verification may result in account suspension or termination.

4. Platform Services

Silsila provides a platform that connects:

• Workers seeking employment opportunities in construction
• Employers/Contractors looking to hire skilled workers
• Subcontractors offering specialized construction services
• Suppliers selling construction materials
• Equipment Providers renting construction equipment
• Transport Providers offering logistics services

Silsila acts as an intermediary platform and is not a party to any agreements between users. We do not guarantee any outcomes from connections made through the Platform.

5. User Responsibilities

5.1 For All Users

You agree to:

• Use the Platform only for lawful purposes
• Provide accurate information in listings, profiles, and communications
• Respect other users and communicate professionally
• Not engage in fraudulent or deceptive practices
• Comply with all applicable UAE laws and regulations
• Not attempt to circumvent the Platform for direct transactions

5.2 For Employers

• Comply with UAE labor laws and regulations
• Provide accurate job descriptions and compensation details
• Ensure safe working conditions
• Process payments as agreed with workers
• Obtain necessary permits and approvals

5.3 For Workers

• Maintain valid work authorization in the UAE
• Accurately represent your skills and experience
• Fulfill commitments made to employers
• Follow workplace safety guidelines

5.4 For Suppliers and Service Providers

• Hold valid trade licenses for your business activities
• Provide accurate product/service descriptions and pricing
• Deliver products/services as described and agreed
• Maintain appropriate insurance coverage
• Comply with product safety and quality standards

6. Prohibited Activities

You must not:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, or fraudulent content
• Harass, abuse, or threaten other users
• Discriminate based on nationality, religion, gender, or other protected characteristics
• Use the Platform for illegal employment practices
• Collect user data without authorization
• Interfere with or disrupt the Platform's operation
• Attempt to bypass security measures
• Create fake accounts or impersonate others
• Post spam, advertisements, or promotional content outside designated areas
• Share contact information to circumvent Platform fees

7. Payments and Fees

7.1 Platform Fees

Silsila may charge fees for certain services. All applicable fees will be disclosed before you complete a transaction. Fees are subject to change with reasonable notice.

7.2 Transactions Between Users

Silsila may facilitate payments between users. You agree that:

• All amounts are in UAE Dirhams (AED) unless otherwise specified
• You are responsible for applicable taxes
• Payment disputes should first be resolved between parties
• Silsila may assist in dispute resolution but is not liable for outcomes

7.3 Refunds

Refund policies vary by transaction type. Generally, refunds are processed according to the specific terms of each service or as required by UAE consumer protection laws.

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of content you submit to the Platform. By posting content, you grant Silsila a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating the Platform.

8.2 Silsila Content

The Platform, including its design, features, and content, is owned by Silsila and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

8.3 Content Guidelines

We reserve the right to remove content that violates these Terms or is otherwise objectionable. We are not responsible for user-generated content.

9. Reviews and Ratings

Users may submit reviews and ratings. You agree that reviews must:

• Be based on actual experiences
• Be honest and accurate
• Not contain offensive or defamatory content
• Not be influenced by compensation or incentives

We may remove reviews that violate these guidelines.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free operation
• Security of data transmissions
• Quality of workers, services, or materials obtained through the Platform

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW:

• Silsila shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for the actions, content, or conduct of other users
• We are not liable for disputes between users

12. Indemnification

You agree to indemnify and hold harmless Silsila, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Account Termination

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your conduct harms other users or the Platform
• Required by law or regulatory authorities

You may terminate your account at any time through the app settings. Upon termination, your right to use the Platform ceases immediately.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates.

14.2 Dispute Resolution Process

For any dispute:

1. First, contact our support team to attempt informal resolution
2. If unresolved within 30 days, disputes shall be referred to mediation
3. If mediation fails, disputes shall be resolved by the courts of Dubai, UAE

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified through the Platform or via email. Your continued use after changes constitutes acceptance of the modified Terms. If you disagree with changes, you must stop using the Platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Silsila.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms. Silsila may assign its rights to any affiliate or successor entity.
